By contacting us and listening to our brief presentation on why every business owner cannot afford NOT to join us and become an STL member, we will offer you a free review of your business to determine if your business formation documents are adequate to protect you from personal (individual) liability in the event your business is sued. Far too often, when a business is sued, the plaintiff also includes the business owners as defendants on the grounds that they should not be afforded the protections available to owners of corporations or limited liability companies. We will provide you with a free “checkup” to see if you are reasonably protected in your status as owner of your business in the event of litigation against your company.

​STL members are entitled to incorporate exclusive proprietary contract language in their contracts, work orders, and other written agreements in their business, that MINIMIZES EXPOSURE to legal claims against your business. STL has copyrighted a unique contractual provision referred to as a “Conclusive Evidence Clause” that may, under certain circumstances, establish as legally “conclusive” certain facts and / or issues that may exist in certain settings / circumstances, including lawsuits and other legal proceedings. An example of a “Conclusive Evidence Clause” might be found in bank account documentation where a bank account holder (“BAH”) is given a periodic (monthly) bank account statement containing language holding the BAH as having agreed to the accuracy of the BAH’s account information as provided by the bank unless the BAH takes certain action, such as notifying the bank, in a specific time frame and in a certain manner, to object to the accuracy of the information. The language can further provides that, in the event the BAH fails to object to the account information in accordance with the directives as detailed, the BAH is considered, or deemed, to have consented (and in some instances, actually agreed), that the particular bank account information is either correct, or presumed to be correct. If presumed to be correct, the presumption might be deemed a “rebuttable presumption,” in which case the BAH might be allowed to deliver proof (or “rebut the presumption”) that the account information is not accurate, and if he does not rebut the presumption.

​Every month, an STL Member may have a free twenty (20) minute consultation with the Member’s STL Attorney regarding the Member’s business or contract that contains an STL Conclusive Evidence Clause. Thereafter, additional similar consultations (as determined in accordance with the STL Attorney’s discretion) will be available for $25 each. An STL Member’s use of more than one (1) CEC, either in the Member’s business or contracts, operates as a separate use of consultations, up to a maximum of four (4) consultations per month. In the event, an STL Member desires to have a twenty (20) minute phone consultation with Member’s STL Attorney, regarding Member’s business In the event an STL Member desires to have a twenty (20) minute phone consultation with Member’s STL Attorney, regarding Member’s business (in which Member and spouse own at least a fifty percent interest) or a contract which includes an STL Conclusive Evidence Clause, Member’s cost shall be free for the 1 st phone consultation, and $25 for subsequent and similar consultations. The STL Attorney shall have the discretion to determine if a subsequent consultation qualifies as a “similar consultation.” If an STL Member has more than one (1) business or contract, the Member’s free / discounted phone consultations apply to each separately, up to a maximum of four (4) phone consultations per month.

​Member shall be entitled to one (1) letter fromyour assigned STL Attorney every month (the “Letter”), regarding Member’s business, or contracts, provided the business or contract has incorporated an STL CEC. The STL Attorney shall have sole discretion as to all aspects of the Letter, including length, subject matter, and content of the Letter. The STL Member will be charged $75 for any subsequent Letter sent during that month. Attorney letters typically range from 1-2 hours, including the time spent prior to actually drafting (and proofing) an Attorney Letter. Even at a modest rate of $300 / hour, the value of being able to have your designated STL Attorney send a letter on your behalf is worth between $300 - $600, which by itself more than pays for your annual STL Membership fee. Further, letting your customers know that your business operations are scrutinized by a qualified legal team will pay dividends if and when anyone tries to “cut corners” in their dealings with you which, again, more than pays for itself in preventing problems before they materialize. Reminder: you must be an STL Member and you must incorporate the STL Conclusive Evidence Clause in order to take advantage of the aforementioned benefits.

​STL members who use the proprietary Contract language described above are considerable discounts, including flat fee discounts, in even defensive litigation. ​STL Members: should you or your business incur an uncollected debt (“Debt”) of at least $2,000, your STL Attorney will, at no charge, send one (1) collection letter on Member’s behalf, per month, provided the STL Attorney reasonably believes the Debt is valid, and not subject to any offset or counterclaim. If the Debt is at least $5,000, the STL Attorney may undertake additional measures to collect the Debt, including filing a lawsuit on a 33% contingency fee basis (not including any appeal). STL Members: should you or your business incur an uncollected debt (“Debt”) of at least $750, your STL Attorney will, at no charge, send one (1) collection letter on Member’s behalf, per month, provided the STL Attorney reasonably believes the Debt is valid, and not subject to any offset or counterclaim.
